Terms of Service — Searchbase

These Terms of Service (the "Terms") govern your use of the Searchbase service available at https://searchbase.org (the "Service"). By creating an account or using the Service you agree to these Terms.

If you do not agree, do not use the Service.


1. The Service

Searchbase is an AI-assisted research and web-data extraction tool. Through the Service you can:

  • chat with an AI agent that browses, scrapes and summarizes public web content;
  • launch scraping jobs against URLs you choose;
  • upload files for AI-assisted extraction (text, audio, documents);
  • store results, conversations and personal notes ("memory") in your account.

The Service is provided as a tool. The output is generated automatically by AI models and may be inaccurate, incomplete or out of date. You are responsible for reviewing the output before relying on it.


2. Eligibility and account

You must be at least 16 years old to use the Service (or the minimum age set by your country's implementation of GDPR Art. 8 — in Italy, 14).

You are responsible for keeping your credentials confidential and for all activity on your account. Notify us at [email protected] if you suspect unauthorized access.

We may refuse to create an account, suspend or terminate access if you violate these Terms or the AUP (§ 4).


3. Plans, billing and credits

The Service offers a free tier and one or more paid subscription tiers. Pricing, included credits and limits are shown at https://searchbase.org/pricing and inside the app.

  • Subscriptions renew automatically until cancelled.
  • Payments are processed by Stripe. Card data never transits our servers.
  • Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for the current period.
  • We may change pricing with at least 30 days' notice; the new pricing applies from your next renewal.

4. Acceptable use

You agree to comply with our Acceptable Use Policy (/aup), which is incorporated into these Terms by reference. In short, you agree not to use the Service to:

  • scrape or process personal data of third parties without a lawful basis under GDPR;
  • target special categories of data under Art. 9 GDPR (health, biometrics, religion, etc.) or criminal-conviction data under Art. 10;
  • access content behind authentication that you are not authorized to access;
  • collect data on minors without verifiable parental consent;
  • generate spam, harassment, fraud, malware or material that infringes third-party rights;
  • circumvent rate limits, cost caps, or other technical safeguards;
  • use the Service's output to train competing AI models or to build a substantially similar product.

Violation of the AUP may result in immediate suspension and termination, with no refund.


5. Your content

You retain all rights to the content you submit to the Service ("User Content"): prompts, uploaded files, scraping job descriptions, memory entries, and the AI-generated output produced for your account.

You grant Searchbase a worldwide, non-exclusive, royalty-free licence to host, store, transmit and process your User Content solely to provide the Service to you, including transmitting it to AI sub-processors as described in the Privacy Policy.

We do not use your User Content to train our own AI models, and we contractually require our main AI sub-processors not to train on it either.


6. Third-party content and scraping output

When you instruct the Service to extract data from a URL or third-party API, the resulting content originates from third parties. Searchbase has no control over and makes no warranty about the legality, accuracy, completeness, or licensing terms of that content.

You are solely responsible for ensuring that your use of scraping output complies with:

  • the source website's terms of service and robots.txt directives;
  • applicable copyright, database-right and trade-secret law;
  • GDPR and any other data-protection law applicable to the data subjects whose data you process.

7. Searchbase intellectual property

The Service itself — including the software, UI, brand, documentation and aggregated/anonymized usage data — is owned by Searchbase and its licensors. These Terms grant you a limited, revocable, non-exclusive licence to use the Service for its intended purpose.

You may not reverse-engineer, decompile, sub-licence, resell, or republish the Service or its components, except as expressly permitted by mandatory law (e.g. EU Software Directive Art. 6).


8. AI output disclaimer

The Service uses AI models from Anthropic, Microsoft Azure OpenAI, DeepSeek, Deepgram and others. AI output:

  • is generated by statistical models and may be wrong, biased or fabricated;
  • is not legal, medical, financial or professional advice;
  • should be independently verified before being used in any decision with material consequences.

You agree not to present AI output as authoritative without your own review.


9. Warranty disclaimer

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranty of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your requirements.

Mandatory consumer-protection rights under your local law are not affected.


10. Limitation of liability

To the maximum extent permitted by law, Searchbase will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with the Service.

Our aggregate liability for direct damages is limited to the greater of (a) the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to liability, or (b) EUR 100.

These limitations do not apply to liability that cannot be excluded under mandatory law (e.g. fraud, gross negligence, death or personal injury).


11. Indemnity

You will defend, indemnify and hold Searchbase harmless from any third-party claim arising from (a) your User Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) the data you process through the Service in breach of GDPR or third-party rights.


12. Suspension and termination

We may suspend or terminate your account if (a) you breach these Terms or the AUP, (b) we are required to do so by law, or (c) the Service is discontinued. Where reasonable, we will give you notice and the opportunity to remedy.

You may terminate your account at any time by contacting [email protected] (self-service deletion is on the roadmap — see Privacy Policy § 9).

On termination: paid features stop, your data is deleted in line with the retention schedule in the Privacy Policy, and surviving sections (IP, disclaimer, liability, indemnity, governing law) continue to apply.


13. Changes to the Service and Terms

We may modify the Service or these Terms. For material changes to the Terms we will give at least 15 days' notice via email and/or in-app banner. Continued use after the effective date means you accept the new Terms; if you do not agree, you can terminate the account before the effective date.


14. Governing law and venue

These Terms are governed by the laws of Italy, without regard to conflict-of-laws rules. Disputes will be submitted to the competent courts of Italy.

If you are a consumer resident in the EU, this clause does not deprive you of the protection of mandatory rules of your country of residence (Rome I Regulation, Art. 6).


15. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy and AUP, are the entire agreement between you and Searchbase regarding the Service.
  • Severability. If a provision is found unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition or asset sale.
